    1. Agreement to Terms

    By accessing or using Gratefully's platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this platform.

    2. Use License

    Permission is granted to temporarily access the materials (information or software) on Gratefully's platform for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

    • Modify or copy the materials
    • Use the materials for any commercial purpose or for any public display
    • Attempt to reverse engineer any software contained on Gratefully's platform
    • Remove any copyright or other proprietary notations from the materials
    • Transfer the materials to another person or "mirror" the materials on any other server

    3. Service Description

    Gratefully provides AI-driven insights and analytics for nonprofit organizations. Our platform helps nonprofits understand their impact, optimize their operations, and grow their mission. We reserve the right to modify or discontinue the service at any time without notice.

    4. User Accounts

    When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms. You are responsible for safeguarding the password and for all activities that occur under your account.

    5. Acceptable Use

    You agree not to use the platform:

    • In any way that violates any applicable law or regulation
    • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
    • To impersonate or attempt to impersonate Gratefully, a Gratefully employee, another user, or any other person or entity
    • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the platform

    6. Website Scanning & Content Indexing

    To deliver AI-generated content that accurately reflects your organization's voice, mission, and activities, you authorize Gratefully to periodically scan and index your organization's publicly accessible website(s). By using the platform, you grant Gratefully a limited, non-exclusive license to:

    • Crawl and index publicly available pages, posts, and content on your website
    • Analyze your brand voice, messaging style, and content themes
    • Use this information solely to personalize and improve the AI-generated content and insights we provide to you
    • Cache a reasonable copy of your public content for platform functionality purposes

    We will only access publicly available content and will not attempt to access password-protected, restricted, or private areas of your website. You may revoke this authorization at any time by contacting us at legal@gratefully.io, though doing so may limit the personalization capabilities of our platform.

    7. Intellectual Property

    The platform and its original content, features, and functionality are and will remain the exclusive property of Gratefully and its licensors. The platform is protected by copyright, trademark, and other laws of both the United States and foreign countries. Any content indexed from your website remains your intellectual property and is used solely as described in Section 6.

    8. Limitation of Liability

    In no event shall Gratefully, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

    9. Termination

    We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the platform will immediately cease. We will also discontinue website scanning of your organization's site upon account termination.

    10. Changes to Terms

    We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes by posting the new Terms on this page. Your continued use of the platform after any changes constitutes acceptance of the new Terms.

    11. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
